2 International Conference on Corporate Governance
Minutes of the 2nd Steering Committee meeting
 
on 15th October 2001  at the office of Shri N Vittal, Chief Vigilance Commissioner,New Delhi

The following members were present:

The ICCG Steering Committee was chaired by Shri N Vittal, Chief Vigilance Commissioner, New Delhi.

Shri Vittal welcomed all members of the second Steering Committee meeting for the 2nd International Conference on Corporate Governance which is scheduled to be held on 18-19th January 2002 at Hotel Taj Mahal, Mumbai. He opined that there should be more plenary sessions and minimum number of Parallel concurrent sessions in order to maximize the participation of members in discussions on important themes of universal interest. Having regard to the fact that the conference is of only one and half days duration, after discussion, it was decided that there could be 3 plenary sessions and 2 concurrent sessions in addition to Inaugural and valedictory sessions

The following themes for the plenary sessions were considered most appropriate:

Plenary session-1 : Corporate Governance Good for business.

Plenary session-2 : Implementing Corporate Governance practices in Emerging economies.

Plenary session-3 : Legislative framework for ensuring better Corporate Governance.

The concurrent sessions would interalia cover topics such as selection and training of Directors, Constitution of Boards comprising full time Executive Directors and Non-Executive Directors, the province of responsibilities of NEDs, the role of various regulatory authorities, codes of corporate governance, global initiatives in corporate governance, international standards in accounting systems, corporate Social responsibility, interests of stakeholders and financial institutions / banks, judicious use of natural resources, preservation of the environment etc.

Dr Madhav Mehra kindly offered that he will arrange with the WCFCG Office in U.K. to be the focal point to enlist the support and participation of foreign experts/speakers and other institutions/companies. Mr Raghu Mody, President ASSOCHAM was requested to similarly enlist the active support and participation of opinion leaders & companies in India.

Shri Vittal agreed to write to Shri P C Alexander, Governor of Maharashtra to preside over the inaugural session on 18th January 2002. Finance minister may be requested to deliver the valedictory address. Shri C K Prahland and Mr Sumantra Ghoshal may be requested to deliver keynote address. Shri P C Alexander, Justice Venkatachalaiah may be asked to preside over the inaugural and valedictory function respectively.

The following names were suggested to head committees:

1. Mr P P Vora CMD, IDBI - Chairman Finance Committee
2. Mr Vinod Dhall , Secretary Dept. of Company Affairs - Chairman Policy Committee
3. Mr D R Mehta, Chairman, SEBI - Chairman Programming Committee

It was decided that the next meeting of the steering committee will be on the 21st November 2001 at 8:00 pm at Hotel Taj Mahal, Mumbai.

The meeting ended with a vote of thanks to the Chairman and all the participants for sharing their valuable ideas and insights on successful conduct of the conference.
